These terms of use bind you or the entity you represent to the terms and conditions set forth herein when you use or access our website or any of our services. If you wish to use our services, website, content, submitted content, courses and/or any other materials made available, you must read, comply with and agree to be bound by the terms of this agreement. If you object to anything in this agreement, do not use our services, website, content, submitted content, courses and/or any other materials made available.
1. ACCEPTANCE OF TERMS AND CONDITIONS
a. This legally binding agreement is a contract that sets out the terms of your use of our services and website, content, submitted content, courses and any other materials made available, whether you are a registered student or just a visitor to the site seeking information.
b. We may modify this Agreement from time to time. Modifications are effective upon posting on our Website.
2. ELIGIBILITY
a. By using our services, website, content, submitted content, courses and/or any other materials made available, you represent and warrant to us that you are either a legal adult or, if under the age of majority, have obtained proper consent from a parent or legal guardian.
b. If you use our services, website, content, submitted content, courses and/or any other materials made available on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to this agreement.
c. By using our services, website, content, submitted content, courses and/or any other materials made available, you represent and warrant that you have the right, authority and capacity to enter into this agreement and to abide by all of the terms and conditions of this agreement.
3. ENROLMENT FEE & PAYMENT PLAN
Courses on location
You can easily subscribe to the courses and masterclasses on our website. Depending on what you prefer, the payment can be done in one time or in 3 installments. The online payment is made via Paypal or creditcard. If an invoice is needed please email [email protected] with all the details. Upon payment, attendance is confirmed. Please note that VAT is added to any invoice we send. Cancellation policy: We offer a full refund if the course was cancelled two weeks, at latest, prior to the start. In the event that you cancel 13 days (or less) before the start of the course, we offer 50% refund. From the day the course starts we will not refund the course fee.
Digital Courses
Full payment of the enrollment fee is due before the time of registration. You can pay by credit card, debit card, bank transfer, or wire transfer. Our Academy shall give you access to the course when full payment has been made; however, if you choose to pay by bank or wire transfer, your access will not be granted until your transfer has cleared. The enrollment fee shall cover the course registration and participation, and all other course content.
You also have the option to make payments pursuant to a payment plan. Payment plans are designed to make registration more affordable by spreading the total cost into separate installments. Payments will be billed periodically as communicated during the enrollment process.
If the balance or installment payments are not received on the due dates then Next Stage Academy reserves the right to suspend your access to the services, website, content, submitted content, courses and any other materials made available on or through the use of our services until such time as the fees owing have been paid. If you agree, we may auto-debit the payment plan from the bank account that you designate for such purposes.
If you are on a payment plan, you are obligated to continue to make all future payment installments that were previously agreed to with us, also if you will or cannot finish the course or service we provide or do not make any or limited use of the services, website, content, submitted content, courses and any other materials made available on or through the use of our services
4. PERSONAL & NON-COMMERCIAL USE ONLY
Our services, website, content, submitted content, courses and any other materials made available on or through the use of our services are solely for personal and non-commercial use. Through your enrollment we grant you a limited, non-exclusive, non-transferable, license to the content, submitted content, courses and any other materials made available. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for public performances. Next Stage Academy may revoke your license at any time at its sole discretion. Upon such revocation, you must promptly destroy all content downloaded or otherwise obtained through the service, as well as copies of such materials, whether made in accordance with these terms of use or otherwise.
5. SYSTEM AVAILABILITY
The e-Learning system of Next Stage Academy is generally available twenty four-seven, but may be down during times of maintenance required for optimum system performance. Next Stage Academy will make every effort to inform you of system downtime in advance, but, this is not always possible. Next Stage Academy cannot provide support for computers that do not meet our system requirements.
6. CODE OF CONDUCT
While using our services, website, content, submitted content, courses and any other materials made available on or through the use of our services you agree not to:
a. Use our services, website, content, submitted content, courses and any other materials made available on or through the use of our services for any unlawful purpose;
b. Express or imply that any statements you make are endorsed by us, without our prior written consent;
c. Transmit (a) any content, language, imagery, or information that is unlawful, fraudulent, threatening, harassing, abusive, libellous, defamatory, obscene or otherwise objectionable, or infringes on our or any third party's intellectual property or other rights; (b) any material, non-public information about companies without the authorization to do so; (c) any trade secret of any third party; or (d) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities, or other unsolicited commercial communication (except as otherwise expressly permitted by us);
d. Engage in spamming or flooding;
e. Breach or circumvent any laws, third-party rights or our systems, policies, or determinations of your account status;
f. Transmit any software or other materials that contain any virus, worm, time bomb, Trojan horse, or other harmful or disruptive component;
g. Modify, adapt, sublicense, translate, sell, reverse engineer, decompile or disassemble any portion of our services, website, content, submitted content, courses and any other materials made available on or through the use of our services
h. Remove any copyright, trademark, or other proprietary rights notices contained on or applied to our services, website, content, submitted content, courses and any other materials made available on or through the use of our services
i. "Frame" or "mirror" any part of the our services, website, content, submitted content, courses and any other materials made available on or through the use of our services without our prior written authorization;
j. Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the website or its contents;
k. Harvest or collect information about website visitors, co-students, teachers or members without their express consent;
l. Create more than one profile without our express written consent;
m. Permit anyone else whose account or subscription was terminated, or who is not a member, has enrolled or subscribed, to use our services, website, content, submitted content, courses and any other materials made available on or through the use of our services through your enrollment, subscription, username or password;
n. Transfer your account or user ID to another party without our consent;
o. Solicit any teacher or user to work with or for another company for employment, independent contracting services, performances, or other service; or
p. Engage in any communication related to sexual conduct, nudity, or which expresses profanity.
7. INTELLECTUAL PROPERTY
All intellectual property rights in Next Stage Academy's courses and course materials, whether in-class or online, including without limitation designs, copyrights, database rights, trademarks, patents, application to register any of the aforementioned rights, trade secrets and/or know how, are and shall remain the exclusive property of Next Stage Academy, her teachers and partners. You may not, without the express written consent of Next Stage Academy, reproduce, copy, disseminate, broadcast, or otherwise use any intellectual property owned or controlled by Next Stage Academy, her teachers or partners, including any intellectual property contained in any course materials or trademarks used by us, her teachers and partners.
8. USER/STUDENT CONTENT LICENSE
By submitting any content to the website or during the use of the services website, content, submitted content, courses and any other materials made available on or through the use of our services you hereby grant to Next Stage Academy a non-exclusive, royalty-free, worldwide license to access, use, perform, display, reproduce, copy, transmit, and distribute this content, and all copyrights, neighbouring rights, trademarks and other proprietary rights therein, in connection with the services, website, content, submitted content, courses and any other materials made available on or through the use of our services for the purpose of executing the agreement.
9. WARRANTY DISCLAIMER
a. Our website, content, submitted content, courses and any other materials made available on or through the use of our services are provided ‘as is’, without any warranties of any kind and, to the fullest extent permissible under applicable law, we hereby disclaim, on behalf of Next Stage Academy, her teachers and partners, all such warranties, express or implied, including but not limited to fitness for a particular purpose, non-infringement, accuracy, freedom from errors, suitability of content, or availability.
b. There are no warranties, express or implied, by operation of law or otherwise for the use or results of the courses and materials, that you will successfully complete the course, or that any particular level of knowledge will be attained by you. Next Stage Academy disclaims any implied warranties including the implied warranties of merchantability and fitness for a particular purpose
10. LIMITATION OF LIABILITY
You expressly understand and agree that Next Stage Academy, her teachers nor partners will not be liable for any indirect, incidental, special, consequential, exemplary damages, or damages for loss of profits including but not limited to, damages for loss of goodwill, use, data or other intangible losses (even if Next Stage Academy her teachers or partners have been advised of the possibility of such damages), whether based on contract, tort, negligence, strict liability or otherwise, resulting from: (i) the use or the inability to use the services, website, content, submitted content, courses and any other materials made available on or through the use of our services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the services, website, content, submitted content, courses and any other materials made available on or through the use of our services; or (v) any other matter relating to the services, website, content, submitted content, courses and any other materials made available on or through the use of our services. In no event will Next Stage Academy's, partner's or teacher's total liability to you for all damages, losses or causes of action exceed the amount you have paid us in the last nine (9) months, or, if greater, two hundred dollars ($200).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations set forth above may not apply to you. If you are dissatisfied with any portion of the service or with these terms of service, your sole and exclusive remedy is to discontinue use of the services, website, content, submitted content, courses and any other materials made available on or through the use of our services.
11. INDEMNITY
You agree to indemnify Next Stage Academy, her employees, teachers, partners and representatives from any claim or demand, including reasonable legal costs, made by any third parties against her employees, teachers, partners and/or representatives arising out of or in connection with your use of the services, website, content, submitted content, courses and any other materials made available on or through the use of our services, any breach of these terms of use by you, or the infringement by you of our or a third party's intellectual property rights.
12. TERMINATION
You agree that Next Stage Academy, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the services, website, content, submitted content, courses and any other materials made available on or through the use of our services and remove and discard any content within the services, website, content, submitted content, courses and any other materials made available on or through the use of our services, for any reason, including, without limitation, for lack of use or if Next Stage Academy believes that you have violated or acted inconsistently with the letter or spirit of these terms of use. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of your use of the services, website, content, submitted content, courses and any other materials made available on or through the use of our services may be referred to appropriate law enforcement authorities. Next Stage Academy may also in its sole discretion and at any time discontinue providing the services, website, content, submitted content, courses and any other materials made available on or through the use of our services, or any part thereof, with or without notice. You agree that any termination of your access to the services, website, content, submitted content, courses and any other materials made available on or through the use of our services under any provision of this terms of use may be effected without prior notice, and acknowledge and agree that Next Stage Academy may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the services, website, content, submitted content, courses and any other materials made available on or through the use of our services. Further, you agree that Next Stage Academy will not be liable to you or any third party for any termination of your access to the services, website, content, submitted content, courses and any other materials made available on or through the use of our services.
13. APPLICABLE LAW AND COURT
The provisions of these terms of use, as well as any disputes connected with or ensuing from the agreement, shall be exclusively governed by the laws of the Netherlands. Any disputes ensuing from or connected with the provisions of these terms of use and the agreement shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands, unless imperative law prescribes otherwise. The applicability of the Vienna Sales Convention is expressly excluded.
